Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Zayd LLC ("Zayd," "we," "us," or "our"), governing your use of the Zayd Health platform and related services (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that entity.
2. Description of Service
Zayd Health is a healthcare billing compliance platform. The Service provides tools for clinical documentation, compliance tracking, and billing report generation. Specific features and capabilities are described within the platform and may change over time.
3. Not Medical Advice
The Service is a billing compliance and documentation tool. It is not a medical device, does not provide medical advice, and is not intended to diagnose, treat, cure, or prevent any disease or condition. All clinical decisions must be made by licensed healthcare providers exercising independent professional judgment. Zayd LLC assumes no responsibility for clinical decisions made using data displayed within the platform.
4. Eligibility
The Service is intended for use by licensed healthcare practices operating in the United States. By subscribing, you represent that you are a licensed healthcare provider or authorized representative of a licensed practice.
5. Accounts and Access
Clinic administrators are responsible for creating and managing user accounts, assigning appropriate roles, and ensuring only authorized personnel access the Service. You are responsible for maintaining the confidentiality of all account credentials. Patient accounts are created by authorized clinic staff only.
6. Clinic Responsibilities
By using the Service, you acknowledge and agree that:
- Insurance verification: You are responsible for verifying that applicable billing codes are covered under each patient's insurance plan before enrollment.
- Accurate data entry: You are responsible for the accuracy of all data entered into the platform. Billing documentation is generated from data you provide.
- Clinical oversight: All services documented through the platform must be provided under the supervision of a qualified healthcare practitioner as required by applicable regulations.
- Patient consent: You are responsible for obtaining all required patient authorizations for monitoring services and third-party data sharing.
- Claim submission: You or your billing staff are responsible for submitting claims to payers. The Service generates billing documentation but does not submit claims on your behalf.
- Regulatory compliance: You remain responsible for your practice's compliance with HIPAA, CMS guidelines, and all applicable federal, state, and local regulations.
7. Fees and Payment
Fees for the Service are described in your subscription agreement or as displayed during sign-up. Fees are billed monthly based on active usage and are processed through our payment provider. Fees are non-refundable except as required by law or at our sole discretion. We may adjust pricing with thirty (30) days' written notice.
8. Data Ownership and Licensing
Your data: Patient health information entered into the platform is owned by the clinic and their patients. Upon termination, clinics may request export of their data.
De-identified data: Zayd LLC retains the right to aggregate and de-identify data collected through the platform. De-identified data — which cannot be traced to any individual — is owned by Zayd LLC and may be used for research, analytics, and commercial purposes. This right survives termination.
Platform: All software, interfaces, documentation, and intellectual property comprising the Service are owned by Zayd LLC. Your subscription grants a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.
9. HIPAA
Zayd LLC operates as a Business Associate under HIPAA. We will execute a Business Associate Agreement (BAA) with each clinic client prior to processing PHI. In the event of a conflict between these Terms and the BAA regarding PHI, the BAA controls.
10. Third-Party Services
The Service integrates with third-party services for data processing, payments, hosting, and communications. Your use of these integrations is subject to the respective third party's terms and policies. Zayd LLC is not responsible for the availability or practices of third-party services. Certain integrations may require patient-level authorization, which clinics are responsible for facilitating.
11. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Submit false, misleading, or fabricated data
- Attempt to gain unauthorized access to any part of the Service or connected systems
- Reverse engineer, decompile, or disassemble any portion of the Service
- Use the Service to commit healthcare fraud of any kind
- Share account credentials with unauthorized individuals
- Interfere with the integrity or performance of the Service
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." ZAYD LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that billing documentation generated will result in successful claims.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZAYD LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF REVENUE, LOST PROFITS, CLAIM DENIALS, OR BUSINESS INTERRUPTION.
OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO ZAYD LLC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
14. Indemnification
You agree to indemnify and hold harmless Zayd LLC from any claims, damages, or expenses arising from: (a) your use of the Service, (b) your violation of these Terms, (c) inaccurate data you enter, (d) claims submitted using documentation generated by the Service, or (e) your violation of any applicable law or regulation.
15. Termination
Either party may terminate the subscription at any time. Upon termination:
- Access will be revoked at the end of the current billing period
- You may request data export within thirty (30) days
- Audit logs and billing records will be retained as required by applicable regulations
- De-identified data rights survive termination
- Limitation of liability, indemnification, and intellectual property provisions survive termination
16. Governing Law
These Terms are governed by the laws of the State of Delaware. Zayd LLC is a Delaware limited liability company. Any disputes shall be resolved in the state or federal courts located in Texas. Before initiating legal proceedings, the parties agree to attempt informal resolution for at least thirty (30) days.
17. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated to active subscribers at least thirty (30) days before they take effect. Continued use after the effective date constitutes acceptance.
18. Severability
If any provision is held invalid or unenforceable, the remaining provisions continue in full force. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.
